Introduction

These Terms of Use ("Terms") govern your access to and use of the PayRadar.ai platform, website, APIs, and related services (collectively, the "Service") operated by PayRadar, Inc. ("PayRadar," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, do not use the Service.

1. The Service

1.1 Description

PayRadar.ai is an AI-powered revenue intelligence platform that connects to third-party tools and data sources you designate (such as payment processors, analytics platforms, advertising platforms, commerce platforms, CRM systems, and data warehouses), ingests data from those tools, and provides analytics, insights, alerts, reports, and AI-powered recommendations based on that data.

1.2 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (for which we will provide reasonable advance notice), unplanned outages, third-party service disruptions, or force majeure events.

We are not responsible for disruptions caused by the third-party tools you connect to the Service. If a connected tool's API is unavailable, rate-limited, or returns errors, the corresponding features of our Service may be affected.

1.3 Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. For material changes that reduce the functionality available under your current subscription plan, we will provide at least 30 days' notice. If you do not agree with a material change, you may cancel your subscription as described in Section 6.

2. Accounts

2.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information.

2.2 Account Security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at support@payradar.ai if you become aware of any unauthorized access to your account.

We implement industry-standard security measures but cannot guarantee that unauthorized third parties will never be able to defeat our security measures. You acknowledge that you provide your information at your own risk.

2.3 Account Types

The Service may be accessed by individuals you authorize within your organization ("Users"). Depending on your subscription plan, you may have a limited number of User seats. You are responsible for all Users' compliance with these Terms.

2.4 Account Suspension and Termination

We may suspend or terminate your account if we reasonably believe that you have violated these Terms, that your use of the Service poses a security risk, that your account has been compromised, or that we are required to do so by law. We will provide notice and an opportunity to remedy the violation where reasonably practicable.

3. Data Ownership and Licensing

3.1 Your Data

"Your Data" means all data that you provide to the Service, all data ingested from third-party tools you connect to the Service, and all data generated by the Service specifically for your account (such as custom reports, AI-generated insights, and alert configurations).

You retain all ownership rights to Your Data. We do not claim any ownership interest in Your Data.

3.2 License to Process Your Data

By using the Service, you grant PayRadar a limited, non-exclusive, worldwide license to access, store, process, analyze, and display Your Data solely for the purpose of providing the Service to you and as described in our Privacy Policy. This license terminates when you delete Your Data or close your account, subject to reasonable backup and deletion timelines described in our Privacy Policy.

3.3 Aggregated and De-Identified Data

We may create aggregated, de-identified data derived from Your Data that cannot reasonably be used to identify you, your business, or your customers. We may use such aggregated data for product improvement, industry benchmarking, and research purposes. You acknowledge and consent to this use.

3.4 Third-Party Tool Data

When you connect third-party tools to the Service, you represent and warrant that you have the legal right and necessary permissions to authorize PayRadar to access and process data from those tools on your behalf. You are responsible for ensuring that your use of the Service complies with the terms of service and data policies of each third-party tool you connect.

PayRadar is not responsible for changes to third-party tool APIs, terms of service, or data access policies that may affect the Service's ability to ingest or process data from those tools.

3.5 Payment Card Data

You acknowledge that data ingested from payment processors may include transaction data and BIN-level card information. PayRadar does not store full payment card numbers (PANs), CVV/CVC codes, cardholder authentication data, or magnetic stripe data. You agree not to transmit such data to PayRadar through any means, including manual data uploads or API integrations.

4. Acceptable Use

4.1 Permitted Uses

The Service is intended for lawful business intelligence, analytics, and operational purposes. You may use the Service to analyze your own business data, generate insights about your own operations, and make informed business decisions.

4.2 Prohibited Uses

You agree not to use the Service to:

Violate laws or regulations — use the Service in any manner that violates applicable local, state, national, or international laws, including data protection laws, financial regulations, or anti-money laundering requirements.

Process unauthorized data — ingest data from third-party tools for which you do not have proper authorization or to which you do not have lawful access.

Reverse-engineer or compete — reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service, or use the Service to build a competing product or service.

Abuse the AI features — attempt to manipulate, jailbreak, or extract the underlying prompts, training data, or model weights of our AI features, or use AI features to generate content that is illegal, harmful, misleading, or fraudulent.

Circumvent security — attempt to bypass authentication, access controls, rate limits, or other security measures of the Service.

Interfere with the Service — take actions that impose an unreasonable load on our infrastructure, introduce malicious code, or interfere with other users' access to the Service.

Resell without authorization — resell, sublicense, or redistribute access to the Service to third parties unless you are on a plan that explicitly permits this (such as a white-label plan).

Process consumer personal data improperly — use the Service to process consumer personal data in ways that violate applicable privacy laws or without appropriate legal bases, privacy notices, and consent where required.

4.3 Enforcement

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating access, removing content, and reporting violations to law enforcement where appropriate.

5. AI Features and Limitations

5.1 Nature of AI-Generated Content

The Service includes AI-powered features that generate insights, recommendations, reports, and responses to natural-language queries ("AI Outputs"). AI Outputs are generated by artificial intelligence systems and are provided for informational and analytical purposes only.

5.2 No Guarantee of Accuracy

While we strive to provide accurate and useful AI Outputs, we do not guarantee their accuracy, completeness, reliability, or suitability for any particular purpose. AI Outputs may contain errors, inaccuracies, or incomplete information. You are responsible for independently verifying AI Outputs before making business decisions based on them.

5.3 Not Professional Advice

AI Outputs do not constitute financial advice, legal advice, tax advice, or any other form of professional advice. You should consult qualified professionals before making significant business, financial, or legal decisions.

5.4 Human Oversight Required

The Service is designed to augment human decision-making, not replace it. AI-generated recommendations (such as "shift ad budget" or "revert A/B test") are suggestions only. The Service does not take automated actions that affect your business operations, payment processing, ad spending, or billing. All actions require your explicit confirmation and implementation.

5.5 AI Data Processing

Our AI features process Your Data as described in our Privacy Policy, including Section 5 (AI and Machine Learning). By using AI features, you acknowledge that aggregated data summaries may be sent to third-party LLM providers for processing, subject to the safeguards described in our Privacy Policy.

6. Subscription Plans and Billing

6.1 Plans

The Service is offered under various subscription plans, including free and paid tiers. The features, limitations, data retention periods, and pricing for each plan are described on our pricing page at payradar.ai/pricing and may be updated from time to time.

6.2 Free Plans

Free plans are provided at our discretion and may be subject to usage limitations (such as limited tool connections, data history, or AI queries). We reserve the right to modify or discontinue free plans at any time with 30 days' notice to affected users.

6.3 Paid Plans

Paid plans are billed on a monthly or annual basis, as selected at the time of purchase. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel.

Pricing changes. We may change pricing for paid plans by providing at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

Taxes. Prices are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription, except for taxes based on our income.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@payradar.ai.

Monthly plans — cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

Annual plans — cancellation takes effect at the end of the current annual term. No prorated refunds are provided for unused portions of annual subscriptions, except where required by applicable law.

Upon cancellation, your account will be downgraded to the free plan (if available) or deactivated. Your Data will be retained for 30 days after cancellation to allow for reactivation or export, after which it will be deleted in accordance with our Privacy Policy.

6.5 Refunds

We offer a 14-day refund policy for new paid subscriptions. If you are not satisfied with the Service within 14 days of your first paid subscription, contact support@payradar.ai for a full refund. After the 14-day period, no refunds are provided except where required by applicable law.

7. API Access

7.1 API Availability

Certain subscription plans include access to the PayRadar API. API access is subject to these Terms and any additional API-specific documentation published at docs.payradar.ai.

7.2 API Keys

API access is authenticated using API keys. You are responsible for keeping your API keys confidential and for all activity that occurs using your keys. If you believe a key has been compromised, you must revoke it immediately through your account settings.

7.3 Rate Limits

API access is subject to rate limits that vary by subscription plan. Rate limits are described in our API documentation. Exceeding rate limits may result in throttled or rejected requests. Repeated or intentional abuse of rate limits may result in suspension of API access.

7.4 API Changes

We may modify the API from time to time. We will make reasonable efforts to maintain backward compatibility and will provide notice of breaking changes at least 60 days in advance. We maintain API versioning to allow you to migrate at your own pace within the deprecation window.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, functionality, algorithms, AI models, documentation, branding, and underlying technology, is owned by PayRadar and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.

8.3 Trademarks

"PayRadar," "PayRadar.ai," "Radar AI," "Radar Command," "Radar Insights," and associated logos are trademarks of PayRadar, Inc. You may not use our trademarks without our prior written consent, except as necessary to accurately describe your use of the Service.

9. Third-Party Services

9.1 Third-Party Integrations

The Service integrates with third-party tools and platforms that are not operated by PayRadar. Your use of those third-party services is governed by their own terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

9.2 No Endorsement

The inclusion of third-party integrations in the Service does not constitute an endorsement of those services. We do not guarantee the accuracy, reliability, or quality of data received from third-party services.

9.3 Third-Party Downtime

If a third-party service experiences downtime, API changes, or data quality issues, the corresponding features of our Service may be affected. We will make reasonable efforts to adapt to third-party changes but are not liable for disruptions caused by third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, PAYRADAR DOES NOT WARRANT THAT:

(a) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

(b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

(c) THE DATA, INSIGHTS, REPORTS, OR AI OUTPUTS PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE.

(d) ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED.

(e) THE SERVICE WILL BE COMPATIBLE WITH ALL THIRD-PARTY TOOLS OR SERVICES.

YOU ACKNOWLEDGE THAT THE SERVICE PROVIDES ANALYTICAL INSIGHTS AND AI-GENERATED RECOMMENDATIONS, NOT GUARANTEED OUTCOMES. BUSINESS DECISIONS MADE BASED ON THE SERVICE ARE YOUR SOLE RESPONSIBILITY.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYRADAR, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PAYRADAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYRADAR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO PAYRADAR IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND PAYRADAR AND THAT PAYRADAR WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless PayRadar, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of the Service in violation of these Terms.

(b) Your violation of applicable laws or regulations.

(c) Your connection of third-party tools to the Service without proper authorization.

(d) Any dispute between you and a third party arising from your use of the Service.

(e) Your processing of personal data through the Service in violation of applicable data protection laws.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

13.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@payradar.ai and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

Any dispute arising out of or relating to these Terms that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

13.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms or Data Processing Agreements, constitute the entire agreement between you and PayRadar regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without your consent in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

PayRadar shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including natural disasters, wars, terrorism, pandemics, government actions, power failures, internet outages, or third-party service disruptions.

14.6 Notices

Notices to you will be sent to the email address associated with your account. Notices to PayRadar should be sent to legal@payradar.ai. Notices are deemed received when sent by email if no delivery failure is received.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice on our Website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
